PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY REGISTERING FOR, ACCESSING, BROWSING, AND/OR OTHERWISE USING THE MARKETPLACE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, DO NOT ACCESS, BROWSE OR OTHERWISE USE THE MARKETPLACE.

  1. GENERAL INFORMATION
  1. LLC “Lets cmon” (“Company”) provides an online platform/marketplace and related services (“Services”) that connects sellers and buyers seeking to sell and buy tickets, respectively, passes or other associated goods and/or services for events, as well as gift vouchers and other vouchers (“Tickets”) and Company may make such Services available via website at www.letscmon.com (“Marketplace”).
  2. By accessing or using our Marketplace, you agree to be bound by these Marketplace Terms and Conditions (“Terms and Conditions”).
  3. Our Privacy Policy (“Privacy Policy”) and all other policies applicable to your use of the Marketplace (if any) (collectively, the “Policies”) are incorporated by reference into these Terms and Conditions.
  4. Company is not a Ticket distributor or seller and acts only as an intermediary between the buyers and sellers. Sellers sell all Tickets sold in Marketplace. All Ticket sales and purchases are made directly between the buyer and the seller. The Company performs only limited intermediary functions in connecting Sellers and Buyers, such as providing Sellers with access to posting advertisements for the Tickets, allowing Buyers to purchase Tickets, arranging payments and other functions as set out on the Marketplace.
  5. These Terms and Conditions define the general terms and conditions of use of the Marketplace and constitute a binding legal agreement between Company and users of the Marketplace.
  6. These Terms and Conditions do not constitute an agreement between the Company and the Buyer and/or Seller for the purchase/sale of the Tickets. These Terms and Conditions shall be the general Terms and Conditions of the Ticket(s) purchase agreement concluded between the Buyer and the Seller. The specific (special) terms and conditions of the Ticket purchase agreement between the Buyer and the Seller (i. e., Ticket/event information, Ticket delivery timeframes, price, etc.) shall be set out in the final Ticket purchase confirmation window on Marketplace, which, together with these Terms and Conditions, shall constitute the entire Ticket purchase agreement.
  7. If you are using any Service as an employee, agent, or contractor of a corporation, partnership, or similar entity, then you represent and warrant that you have the authority to sign for and bind such entity to accept the Terms and Conditions. The rights granted under the Terms and Conditions are expressly conditioned upon acceptance by such authorised personnel.
  8. Marketplace may periodically change these Terms and Conditions and shall notify you by posting a revised version on our Marketplace. Revised Terms and Conditions will become effective upon publication, and your continued use of our Marketplace and Services will constitute acceptance of the revised Terms and Conditions.
  9. We reserve the right at any time to modify or discontinue, temporarily or permanently, the Marketplace, the Services or any part of the Marketplace or Services with or without notice for any reason. We perform regularly scheduled maintenance. While we do our best to avoid customer impact, the Marketplace or our Services may be temporarily unavailable during maintenance periods.
  10. These Terms and Conditions shall commence when an individual user registers an account on Marketplace or agrees with these Terms and Conditions and will continue for an indefinite period unless terminated by these Terms and Conditions or on other grounds.
  1. TICKET MARKETPLACE
  1. Marketplace is a Ticket marketplace (platform) that allows registered (with limited exceptions) users to buy ("Buyer") and sell ("Seller") Tickets. Where this is possible on the platform, Buyers may not register for an account but must accept these Terms and Conditions (as well as other documents (e.g., Privacy Policy), if any) as part of the Ticket purchase process.
  2. These Terms and Conditions do not constitute an agreement between the Company and the Buyer and/or Seller for the purchase/sale of the Tickets. These Terms and Conditions shall be deemed to be the general Terms and Conditions of the Ticket(s) purchase agreement concluded between the Buyer and the Seller. The specific (special) terms and conditions of the Ticket purchase agreement between the Buyer and the Seller (i. e., Ticket/event information, Ticket delivery timeframes, price, etc.) shall be set out in the final Ticket purchase confirmation window on Marketplace, which, together with these Terms and Conditions, shall constitute the entire Ticket purchase agreement.
  3. The Seller (not Company) sets the prices for the Tickets. The price quoted by the Seller is binding if the Buyer purchases the Ticket at the price quoted.
  4. As a Marketplace, Company does not own the Tickets sold on the Marketplace unless expressly stated in the Ticket listing.
  5. Ticket prices may exceed the face value of the Ticket. Company is not responsible for setting the Ticket price and does not regulate prices. The Ticket Seller sets the Ticket price.
  6. Company is a Ticket Marketplace. This means that Company is an intermediary between Ticket Buyers and Ticket Sellers. The Marketplace is not the Ticket Seller, and the listed Tickets are not listed by Company on behalf of any venue, promoter, team, league or organising group. Company does not represent any social organiser of the events listed and is not suggesting any endorsement by or association with such social organisers or any venues, events, teams, leagues, performers, attractions, or other organisations. The Marketplace is open to exchanging Tickets that do not violate these Terms and Conditions, laws, and any other regulation.
  7. While Company may provide pricing, shipping, listing and other guidance on the Marketplace, such advice is solely informational (without any warranty as to accuracy). Also, while Company may help facilitate the resolution of disputes between Buyer and Seller, Company has no control over and does not guarantee the existence, quality, safety or legality of the Tickets, the truth or accuracy of the Seller’s content or listings, the ability of Sellers to sell Tickets or Buyers to pay for them, or that a Buyer or Seller will complete a transaction.
  8. Marketplace collects payments from Buyers only on behalf of the Sellers, for the purposes of the performance of the Ticket purchase agreement concluded between the Seller and the Buyer. Amounts collected by Marketplace from the Buyers shall be collected solely for the benefit of the Sellers, i. e., for the purpose of remitting the amount collected from the Buyer for the Ticket purchased.
  9. Marketplace may have interfaces (integrations) with third-party software and may contain links to other websites and services. Company is not responsible for the security of third-party integrations, services and products or the maintenance of such integrations, services and products, nor does Company makes any warranty of quality, performance or otherwise concerning third-party products and services.
  10. Users may be permanently or temporarily denied access to the Marketplace by Company’s unilateral decision without any reason and/or prior notice.
  1. ACCOUNT REGISTRATION
  1. To list or sell Tickets, users must register an account ("Account") on the Marketplace and agree to the Terms and Conditions, as well as to comply with other requirements set out in the Marketplace. Buyers who have not registered an Account must accept the Terms and Conditions during the Ticket purchase process.
  2. Users must be of legal age and be able to enter into legally binding contracts, and in case of the contrary, they shall bear all the negative consequences arising therefrom. If a user cannot enter into a legally binding agreement, user's parent or another legal representative may register and use the Marketplace on the user's behalf (upon proof of this). If the user is registering with us for a business entity, registering person shall represent that he has the authority to bind that entity legally.
  3. When opening an Account or concluding a Ticket purchase agreement, the user must provide complete and accurate information, including but not limited to full name, address, phone number, and email address, as well as other required information, and provide us with valid payment method information. If registration or payment information changes at any time, the User must promptly update his details. The Seller unconditionally agrees that the Company may, if necessary, provide the Seller's data to the Buyer or law enforcement authorities.
  4. Users acknowledge that Company may charge any of the user’s payment methods on file for amounts owed to Company, costs Company incur or other losses arising from the user’s violation of these Terms and Conditions and Policies.
  5. If incorrect information is provided during registration or at the time of Ticket purchase, users may be permanently or temporarily excluded from using the Marketplace, also upon expiry of a deadline where required, or in other cases.
  6. Access to the Marketplace is protected by password or other means provided on Marketplace (if any). Maintaining the safety of their password and further login details is the sole responsibility of the users. Company recommends changing the password at regular intervals. Passwords must not be passed on to third parties. The password must only be used to access the Marketplace and to use the services offered therein. Users are solely responsible for all actions using their password and account. We encourage users to change their password immediately should it have become known to unauthorised parties. The login password may not be shared or otherwise distributed. Accounts are not transferable to another party.
  7. With each use of the Marketplace, users undertake to comply with the rules stipulated in these Terms and Conditions. A non-compliance with the Terms and Conditions may lead to a temporary or complete exclusion from the Marketplace.
  1. SELLER’S RIGHTS AND OBLIGATIONS
  1. Sellers must comply with all applicable laws and regulations, these Terms and Conditions, and Policies when listing, selling, and delivering Tickets.
  2. Sellers, when listing and delivering Tickets, have the right and the opportunity to grant permission to the Marketplace to share the advertisement created by the Seller in Facebook groups selected by the Seller. Such permission must be granted each time the Seller publishes Tickets for sale on the www.letscmon.com platform. The Marketplace and/or the Company does not record any data about the Seller's login data or other settings on the Facebook platform.
  3. When listing a Ticket, the Seller must set a price for which he is willing to sell a Ticket ("Price"). When setting the sale Price of Tickets, the Seller must comply with all applicable laws, statutes, and regulations. The Price quoted by the Seller is binding if the Buyer purchases the Ticket at the Price quoted.
  4. Sellers are free to modify or delete their listing at any time before a sale is completed. By listing a Ticket for sale on Marketplace, the Seller is making a binding offer to sell that Ticket to a Buyer who purchases the Ticket for the Price specified. When a Buyer accepts an offer by purchasing the Ticket, the Seller is contractually bound to deliver that exact Ticket for the set Price and within the required delivery timeframe. If a Ticket is sold, no further changes to the Price or other conditions are allowed, unless otherwise mutually agreed by the Seller and the Buyer, and the Company is notified.
  5. The Seller must monitor his inventory and ensure all listings are accurate. Failure to fulfil Ticket orders will lead to charges as stated in these Terms and Conditions.
  6. Sellers are prohibited from listing the following Ticket items on Marketplace:
  1. Speculative Tickets - Seller must only list Tickets already in possession or allocated to him. Speculative Tickets are Tickets listed for sale or sold before the Seller owns the Tickets or before the Tickets have been given to the Seller. Listing or selling speculative Tickets on our Marketplace is not allowed and may result in account suspension, fees, charges or other consequences;
  2. Tickets that cannot be transferred to third parties because they are valid only for a specific person (i. e., named Tickets) or are otherwise linked to any particular person or other conditions (e. g. a requirement to be a member of a particular club or organisation), which would prevent Buyers from using such Tickets;
  3. Any Tickets that are encumbered by other conditions not disclosed by the Seller to the Buyer in advance of the Ticket purchase transaction;
  4. Stolen Tickets;
  5. Counterfeit, illegitimate or any other Tickets in breach of the law.
  1. Providing accurate and complete information about Tickets during the listing process is essential. When Seller lists Tickets on Marketplace, Seller is responsible for providing complete and accurate information about the Tickets. Depending on the location of the event, this may include all or part of the following: the name of the event, date, section, row, seat and any other required information, including but not limited to the rules of the original Ticket distributor and additional relevant information. Where required, we may remove any listings, cancel any sales or take other actions if listings are vague, confusing, inaccurate or misleading about section, row and seat information.
  2. The Seller is responsible for noting any important required disclosures about the Tickets, including but not limited to the following:
  1. Limited or obstructed view;
  2. Possible obstruction;
  3. Wheelchair seating, wheelchair only or wheelchair accessible;
  4. Alcohol and/or smoking-free section;
  5. Behind stage (possible obstruction);
  6. Side stage (possible obstruction);
  7. Age-limited event;
  8. Any other restrictions or other circumstances that should be disclosed.
  1. Seller may only list valid Tickets. It's the Seller’s responsibility to ensure the Tickets listed for sale on Marketplace are valid. Suppose the Seller delivers incorrectly, misrepresented, invalid, fraudulent or counterfeit Tickets for any sale. In that case, Seller may incur additional fees or be subject to other consequences as these Terms and Conditions are set out.
  2. Suppose the Seller does not follow all the requirements in this section when listing Tickets. In that case, listings may not appear on the Marketplace, the sale may be cancelled, the Seller may not get paid, the Seller may incur additional fees, or the Seller may be subject to other consequences specified in these Terms and Conditions.
  3. If the Seller no longer has the Tickets in his possession, the Seller must remove them from the Marketplace immediately.
  4. Company does not guarantee that Tickets will sell or that the Sellers listing will appear on the Marketplace within a specific time after it is posted or in a particular order on the event page or through search results. Company will not, for any reason, provide compensation for Tickets that do not sell, even if it is due to Marketplace unavailability from an outage or maintenance or listing delays.
  5. When Seller’s Tickets sell, the sale is not complete until the Buyer receives the Tickets. Completing a deal means following all the steps to deliver the Tickets sold on time and under the conditions specified in the Ticket listing.
  6. If any of the information in the listing doesn't match the actual Tickets delivered to the Buyer or if the sale is not completed on time, Company may cancel the sale, the Seller may not get paid, the Seller may incur additional fees, or Seller may be subject to other consequences as set out in these Terms and Conditions.
  7. The Seller must inform Company and the Buyer right away if he:
  1. can't send or upload the Tickets in time;
  2. can’t deliver or upload Tickets at all;
  3. need to offer replacement Tickets;
  4. any other problems arise which may prevent the Buyer from using the Tickets.
  1. If the Seller sold Tickets to a cancelled event, a playoff game, or a contingency game that's not played, or if the voucher is invalid, exhausted or of a different value that stated before the voucher was purchased, the Seller wouldn’t be paid for the sale. If the Seller were already paid, Company would recover the payment by charging Seller’s payment method on file with Company or cancelling pending Prices (for other Tickets sold). The Company shall in no event be obliged to recover or reimburse any sums from the Seller. The Buyer may also make a direct claim against the Seller for a refund of the amounts paid. If the Seller would prevent Company from recovering a payment, Company may suspend selling permissions or withhold future payments until the amount owed is recovered.
  2. If the Seller needs to return Tickets to get a refund of the original purchase, please contact Company within 2 (two) weeks of the event cancellation. If the Buyer fails to return such Ticket, Marketplace shall be entitled to transfer the funds received from the Buyer to the Seller. The Buyer shall not be entitled to claim a refund from the Seller in such case, but shall be entitled to apply to the Ticket issuer (distributor) for a refund of the Ticket Price by using the Ticket held. It is important to note that the face value of a Ticket may be different from the Ticket Price at which the Ticket was purchased by the Buyer, but the Buyer assumes this risk by his/her actions (by not returning the Ticket).
  3. A postponed event is when the time or date has changed because it was rescheduled by the team, venue, artist, or organiser. If an event is postponed and the new event Ticket availability is limited and not guaranteed, Company will deem the event cancelled, unless the Buyer receives new Tickets.
  4. If the Seller won't send new Tickets for the rescheduled event as requested and the Buyer is denied entry to the event, Company may charge Seller the total amount of the order and costs incurred to satisfy the Buyer. This clause does not apply if the Buyer has the right to obtain new Tickets independently.
  5. The Seller is obliged to cooperate with the Buyer in all cases and to provide the Buyer with all necessary information relating to the Tickets (e.g., Ticket exchange procedure, Ticket return procedure, to provide the information required if a Ticket is invalid etc.).
  6. If an event is cancelled or rescheduled, Company reserves the right to cancel a Seller’s transaction.
  7. THE BUYER ACKNOWLEDGES AND UNDERSTANDS THAT THE MARKETPLACE MAY NOT BE ABLE TO DEBIT THE SELLER, OR OTHERWISE RECOVER THE FUNDS PAID FOR THE TICKET. THEREFORE, IF THE BUYER PURCHASES INVALID TICKETS, THE BUYER MUST MAKE CLAIMS FOR ANY REFUNDS DIRECTLY TO THE SELLER. MARKETPLACE IS NOT A TICKET SELLER OR THE FINAL RECIPIENT OF THE TICKET PRICE, AND THEREFORE MARKETPLACE IS NOT RESPONSIBLE FOR THE VALIDITY OF THE TICKETS. MARKETPLACE IS NOT RESPONSIBLE FOR REFUNDS TO BUYERS AND ACTS ONLY AS A SUPPORT ROLE FOR COMMUNICATION BETWEEN THE BUYER AND THE SELLER. THE COMPANY SHALL HAVE THE RIGHT TO TRANSFER THE PERSONAL DATA PROVIDED BY THE SELLER AT THE TIME OF REGISTRATION ON THE MARKETPLACE TO THE BUYER IF THE BUYER REASONABLY INDICATES THAT THE SELLER HAS SOLD INVALID TICKETS.
  8. Sellers will be sent payments for the Tickets no later than 3 (three) business days following the event. The Seller never receives payment before the event, unless the Ticket is not related to an event (e.g., if the Ticket is a gift voucher).
  9. Except where required by law, Company is not responsible in any way for the accuracy or suitability of any payment of any applicable taxes on Seller’s behalf. The Seller is responsible for collecting and remitting applicable international, federal, state, or municipal taxes and fees in connection with Ticket sales.
  10. When Seller violates these Terms and Conditions, Seller may face the consequences, which could include the following (or any combination):
  1. Warnings;
  2. The removal of listings;
  3. Order cancellation;
  4. Limits to buying and selling privileges;
  5. Withholding of payments;
  6. Temporary or permanent suspension of an account;
  7. Or any other consequences specified in these Terms and Conditions or laws.
  1. IF THE SELLER FAILS TO COMPLY WITH ALL THE REQUIREMENTS OF THIS SECTION WHEN PLACING THE TICKETS, THE SELLER IS RESPONSIBLE FOR ALL LOSSES AND EXPENSES INCURRED BY THE BUYER AND THE COMPANY, IN ADDITION, THE SELLER MUST PAY A FINE OF EUR 300 (THREE HUNDRED EUR) TO THE COMPANY WHICH IS CONSIDERED THE MINIMUM LOSS EXPERIENCED BY THE COMPANY FOR WHICH THE PARTIES HAVE AGREED IN ADVANCE AND WHICH THE COMPANY DOES NOT HAVE TO PROVE. SELLER WILL ALSO INDEMNIFY THE COMPANY FOR ALL DIRECT AND INDIRECT DAMAGES IN EXCESS OF THE PENALTIES, INCLUDING, BUT NOT LIMITED TO, THE COMPANY'S LITIGATION COSTS.
  1. BUYER’S RIGHTS AND OBLIGATIONS
  1. The Buyer is responsible for reading and familiarising with the complete listing before buying Tickets.
  2. When placing an order, the Buyer enters into a binding contract with the Seller to purchase those Tickets. Company is not a party to the Ticket purchase agreement.
  3. Additional written terms communicated to the Buyer by the Seller may apply.
  4. Payment is remitted to Company and disbursed to the Seller according to our Terms and Conditions (after the event). If Ticket is not linked to an event (e.g., a gift voucher with a redemption date chosen by the Ticket holder), the disbursement procedure is set out in Section 9.9 of these Terms and Conditions.
  5. All Sales are final. Buyer cannot change or cancel any orders after the sale is complete except as otherwise provided by law or regulation.
  6. The Buyer must, in all cases, determine who the Ticket Seller is, and if the Buyer cannot determine such information from the Ticket listing, the Buyer must contact Company.
  7. Admission to an event is always subject to any terms, conditions or rules of the organiser and the venue operator. Buyer and Seller are each individually responsible for taking notice of these terms, conditions, or regulations. In no event shall the Company be under any obligation to publish such rules, to make the Buyer or Seller aware of such rules, or to take any other action in relation to such third-party rules. Any questions relating to such rules are the sole responsibility of Buyer and Seller.
  8. Buyer has the right to report an invalid Ticket within 2 (two) business days after the event occurred. After this period, Marketplace will not help handling any claims for invalid Tickets. The Buyer shall have the right, upon reasonable request (i.e. stating the objective circumstances relating to the invalid Ticket), to request the Company to provide the personal data provided by the Seller at the time of registration. In this case, the Buyer may contact the Seller directly. In any event, Company does not guarantee the successful resolution of the dispute, the recovery of the money paid for the Ticket or any other related guarantees.
  9. Suppose the issue the Buyer is experiencing is not resolved, and the Buyer is denied admission to an event or a venue. In that case, the Buyer must obtain proof from the venue verifying denied entry (e. g., written and signed confirmation from the event organiser or venue administrator) and send that to Company along with a statement describing the specific circumstances.
  10. When attending an event, the Buyer may be required by the venue, event organiser, or such party’s agent to sign a waiver or other legal document to gain access to the venue. By purchasing Tickets, Buyer confirms understanding that he may be denied entry if he does not sign such a waiver, and such denial of access will not be the responsibility of Company.
  11. The Buyer shall have the right to require the Seller to cooperate with the Seller in all cases and to provide the Buyer with all necessary information regarding the Tickets (e.g. Ticket exchange procedure, Ticket return procedure, to provide the information required if a Ticket turns out to be invalid etc.).
  12. IF COMPANY DETERMINES THAT THE BUYER WAS DENIED ENTRY OR WAS UNABLE TO USE THE VOUCHER, AT NO FAULT OF HIS OWN OR THE COMPANY, AND INFORMED THE COMPANY ACCORDINGLY AND IN A TIMELY MANNER, THE BUYER WILL RECEIVE A FULL REFUND OF THE TICKET'S COST (EXCLUDING THE MARKETPLACE FEES), UNLESS THE TICKET PRICE HAS BEEN PAID TO THE SELLER. MARKETPLCE FEES ARE NON-REFUNDABLE.
  13. IF THE BUYER DID NOT ATTEMPT TO USE TICKETS OR FAILED TO MAKE TIMELY USE OF THEM THROUGH BUYER’S OWN FAULT, THE BUYER WILL NOT BE REFUNDED.
  14. IF THE BUYER FALSELY CLAIMED THAT THE BUYER WAS DENIED ACCESS, THE BUYER WILL BE LIABLE FOR ALL LOSSES AND EXPENSES INCURRED BY THE SELLER AND THE MARKETPLACE, IN ADDITION, THE BUYER SHALL BE LIABLE TO PAY TO THE MARKETPLACE A FINE OF EUR 300 (THREE HUNDRED EUROS), WHICH SHALL BE DEEMED TO BE THE MINIMUM LOSS INCURRED BY THE MARKETPLACE, AS AGREED IN ADVANCE BETWEEN THE PARTIES, WHICH SHALL NOT BE SUBJECT TO ANY OBLIGATION TO PROVE, AND TO REIMBURSE THE MARKETPLACE FOR ALL DIRECT AND INDIRECT DAMAGES IN EXCESS OF THE FINE, INCLUDING, BUT NOT LIMITED TO, THE COMPANY'S LITIGATION EXPENSES.
  15. Tickets and admission to the event are subject to all venue and/or event organiser/promoter safety and health policies (including, but not limited to, those related to the COVID-19 pandemic), which could include, but are not limited to, health screening or vaccination requirements. Buyer acknowledges that the venue and/or event organiser/promoter may continue to develop and update these policies in the intervening time between the purchase and the event date due to, for example, the uncertainty or evolving nature of the COVID-19 pandemic or other safety or health concerns. The buyer acknowledges and agrees that he will comply with such policies by purchasing Tickets and that attendance at the event is conditioned on such compliance. If admission to the event is denied or revoked because (i) the Buyer willfully failed or refused to comply with any such safety and health policies of the venue and/or event organiser/promoter, or (ii) if the Buyer has failed any health screenings or lack the vaccination status required by the venue and/or event organiser/promoter, Buyer will not be eligible for any compensation from Company.
  1. TICKET DELIVERY
  1. Tickets may be delivered by post, by courier service providers, via the email, internet, Marketplace, or by any other means and methods specified in the Marketplace. The Buyer must choose a method of delivery of Tickets that is suitable and acceptable to him and must also ensure that he will be able to accept Tickets by the method of receipt specified.
  2. Delivery will occur on or before the delivery date on the listing, regardless of the delivery method. The Seller must ensure that the Tickets are forwarded or uploaded to the Marketplace or otherwise sent to the Marketplace or Buyer (depending on the Ticket delivery method available on the Marketplace) promptly and adequately.
  3. When Tickets are delivered/sent to the Buyer, it is Buyer’s responsibility to confirm that the Tickets delivered are consistent with the order placed. Buyer shall have forty-eight (48) hours from the delivery time to report any inconsistencies between his order and the delivered Tickets. Company shall not be liable or responsible for any discrepancies discovered after the 48-hour window.
  4. Buyer must notify Company if Buyer does not receive Tickets within 48 (forty-eight) hours of the actual start time of the scheduled or rescheduled event. If Buyer does not timely notify Company, Buyer may not be eligible for compensation based on non-delivery of Tickets.
  5. If the Tickets cannot be delivered on time due to the Buyer's fault, the Buyer may be liable to forfeit the Price of the Tickets.
  1. MARKETPLCE FEES
  1. For every Ticket for which a purchase agreement is concluded, Seller pays an amount equal to 5% of the Price ("Service Fee") to Marketplace, unless a different Service Fee is specified in the final Marketplace service order and/or Ticket purchase-sale confirmation window. The Ticket Price will be credited to the Seller on the terms set out in these Terms and Conditions, with the Service Fee deducted. The Service Fee is non-refundable.
  2. The Buyer of a Ticket can pay online via the offered payment methods. The transaction costs for the purchase of a Ticket amount to 0% of the Ticket Price unless a different payment processing cost is specified in the final Marketplace service order and/or Ticket purchase-sale confirmation window. In addition, the Buyer pays 2 EUR for the payment processing costs unless a different payment processing cost is specified in the final Ticket purchase confirmation window. After purchase, the Ticket is sent to the Buyer. The Buyer shall be provided with the final Price payable at the checkout.
  3. The Buyer and/or Seller shall always be bound by the Service Fees and transaction processing costs outlined in the Marketplace, which may differ from the Service Fee outlined in these Terms and Conditions.
  4. The Marketplace Service Fee and all other applicable fees to Buyers or Sellers may be changed at any time before the conclusion of the Ticket purchase agreement by a unilateral decision of the Marketplace, without cause and any notification to Buyer or Seller.
  5. The Buyer and the Seller are obliged to assess any applicable Marketplace Service Fees and other fees prior to entering into a Ticket transaction.
  6. Once the Ticket purchase transaction has been confirmed, neither the Buyer nor the Seller shall have any claim against the Marketplace in respect of any of the fees charged by the Marketplace.
  7. If the Marketplace sets prices for additional Marketplace Services (e.g., Ticket ad highlighting) any fees paid by the Seller for such additional Services shall be final and non-refundable. For example: if a Ticket ad highlighting is purchased for seven days, but the Ticket is sold within two days, the pro-rata amount for the remaining five days of Ticket ad highlighting shall not be refunded to the Seller).
  1. SEARCH RANKING
  1. Buyers may search the Marketplace for a specific artist or team, event date or other search categories. Each listing contains the event name, date, seat location, and price per Ticket. The Ticket price may be higher than the Ticket face value.
  2. Marketplace does not guarantee the accuracy of any information provided by Sellers on the Company’s Marketplace.
  3. The ranking of Ticket listings in search results on the Marketplace depends on a variety of factors:
  1. in order of lowest to highest price or vice versa;
  2. in order of popularity;
  3. by rating (if any);
  4. by matching search characters;
  5. or based on other factors.
  1. If certain Sellers or certain Ticket offerings (advertisements) of Sellers are displayed in higher positions in the search results on the Marketplace compared to other Sellers or Ticket offerings on account of paid advertising, payment to the Marketplace, or any other privileges applicable to Seller, such information shall be displayed on the Marketplace next to the advertisement of the respective Seller.
  2. If the Marketplace has a negative ranking of search results, i.e., the Seller or the Ticket offering is displayed lower in the search results due to certain criteria (e.g., the Ticket offering is displayed at the bottom of the search results due to poor reviews):
  1. Sellers shall be informed of the negative ranking by means of a separate message on the Marketplace or via the contact details provided by the Sellers.
  2. Buyers shall be informed of the negative search ranking applied to Sellers and/or Ticket offers on the Marketplace either in the search bar or on the search results page (Marketplace window).
  1. PAYMENTS
  1. Payments from Buyers for Tickets purchased via the Marketplace are processed by Marketplace on behalf of the Seller and credited to the Seller.
  2. SELLER APPOINTS MARKETPLACE AS ITS LIMITED PAYMENT COLLECTION AGENT SOLELY TO ACCEPT FUNDS FROM BUYERS ON SELLER'S BEHALF. SELLER AGREES THAT ANY PAYMENT MADE BY BUYER TO MARKETPLACE SHALL BE CONSIDERED THE SAME AS A PAYMENT MADE DIRECTLY TO SELLER, AND SELLER WILL MAKE THE TICKETS AVAILABLE TO BUYER IN THE AGREED-UPON MANNER AS IF SELLER HAD RECEIVED THE PAYMENT DIRECTLY FROM BUYER.
  3. Marketplace collects payments from Buyers only on behalf of the Sellers, for the purposes of the performance of the Ticket purchase agreement concluded between the Seller and the Buyer. Amounts collected by Marketplace from the Buyers shall be collected solely for the benefit of the Sellers, i. e., for the purpose of remitting the amount collected from the Buyer for the Ticket purchased ordered.
  4. Seller understands that obligation to pay Seller is subject to and conditional upon successful receipt of the associated payments from Buyer. Marketplace guarantees payments to Seller only for such amounts that Marketplace has successfully received from Buyer. In accepting an appointment as the limited payment collection agent of the Seller, Marketplace assumes no liability for any acts or omissions of the Seller.
  5. Payments from Buyers are due and payable immediately. A Buyer can pay the total order amount, including any applicable Service Fees and taxes, using one of the accepted payment methods. A Buyer’s obligation to pay for a Ticket is satisfied when Marketplace has received the payment in full.
  6. Payment processing services concerning Ticket sales concluded on Marketplace may be provided by an external (third-party) payment partner and may be subjected to that party’s terms of service. By agreeing to these Terms and Conditions or continuing to operate as a Seller on Marketplace, Seller agrees to be bound by the rules for the use of the external payment partner.
  7. To ensure the proper execution of payment transactions, users must provide correct information to the Marketplace.
  8. SELLERS WILL BE SENT PAYMENTS NO LATER THAN 3 (THREE) BUSINESS DAYS FOLLOWING THE EVENT, UNLESS THE TICKET IS NOT RELATED TO AN EVENT (E.G., IF THE TICKET IS A GIFT VOUCHER, COUPON, ETC.). THE SELLER NEVER RECEIVES PAYMENT BEFORE THE EVENT (UNLESS THE TICKET IS NOT RELATED TO AN EVENT – VOUCHER, COUPON, ETC.). THE BUYER AND THE SELLER AGREE THAT THE MARKETPLACE SHALL HOLD THE AMOUNTS PAID FOR THE TICKETS FROM THE BUYER'S REMITTANCE TO THE MARKETPLACE FOR A MAXIMUM PERIOD OF 14 (FOURTEEN) CALENDAR DAYS AFTER THE END OF THE EVENT, UNLESS THE BUYER MAKES A CLAIM AND INFORMS THE COMPANY. IN THE EVENT OF A BUYER’S CLAIM, MARKETPLACE MAY WITHHOLD FUNDS UNTIL THE CLAIM IS FULLY RESOLVED.
  9. IF THE TICKET IS A GIFT VOUCHER OR A COUPON NOT ASSOCIATED WITH AN EVENT, THE BUYER MUST CONTACT THE ORIGINAL ISSUER TO CONFIRM THE VOUCHER’S VALIDITY NO LATER THAN 7 (SEVEN) CALENDAR DAYS. IF THE BUYER FAILS TO INFORM THE COMPANY OF THE TICKET’S INVALIDITY WITHIN 7 (SEVEN) CALENDAR DAYS, THE TICKET SHALL BE DEEMED VALID, AND THE TICKET PRICE SHALL BE PAID TO THE SELLER. IF ANY CIRCUMSTANCES OF TICKET INVALIDITY COME TO LIGHT AFTER 7 (SEVEN) DAYS FROM THE TICKET PURCHASE, THE BUYER SHALL MAKE ANY CLAIM AGAINST THE SELLER DIRECTLY. THE MARKETPLACE SHALL NOT BE HELD LIABLE FOR ANY INVALID VOUCHERS OR COUPONS. THE BUYER AND THE SELLER AGREE THAT THE MARKETPLACE SHALL HOLD THE AMOUNTS PAID FOR THE TICKETS FROM THE BUYER’S REMITTANCE TO THE MARKETPLACE FOR A MAXIMUM PERIOD OF 14 (FOURTEEN) CALENDAR DAYS AFTER THE TICKET PURCHASE, UNLESS THE BUYER MAKES A CLAIM AND NOTIFIES THE COMPANY.
  1. TAXES
  1. Sellers are responsible for determining whether any taxes are due on the sale of a Ticket and for collecting and remitting such taxes. Any applicable taxes must be included in the Price of the Ticket. If necessary, the Seller agrees to provide the Marketplace with a tax identification number and release that information to the relevant tax authorities.
  2. Users agree that Marketplace is not responsible for the accuracy or suitability of any payment of taxes to any entity on the user’s behalf. Users shall indemnify and hold Marketplace and (if applicable) any parents, subsidiaries, affiliates, officers, directors, agents and employees harmless against all liabilities, costs, interest and expenses (including reasonable attorneys’ fees) incurred by Marketplace that arises out of any third party or governmental claim that involves, relates to or concerns (i) any local, regional, country, or international tax obligation or amounts due or owing under any tax regulation, law, order or decree or (ii) any dispute concerning Marketplace tax status.
  1. CANCELLATIONS, POSTPONEMENTS, AND CHANGES
  1. If an event is cancelled and not rescheduled, Marketplace will remove the event, and any listings related to the event from the Marketplace.
  2. Suppose the Seller requires the Seller’s Ticket(s) back to obtain a refund of the original purchase price from the promoter or organiser. In that case, the Seller must contact Marketplace immediately after the cancellation. The Buyer must retain the Ticket(s) upon Marketplace's request to send them back to either the Seller or to Marketplace. The Buyer will receive a refund once the Buyer has sent back the Ticket(s) (if applicable), and the Seller will not be paid. If the Seller has already been paid, the payment for the sale may be recovered by charging the Seller's payment method or by setting off this amount against pending prices for other Tickets the Seller has sold or will sell in the future.
  3. If an event is postponed, Marketplace will work with Buyers and Sellers on a case-by-case basis and make reasonable efforts to resolve any Ticket issues. Sellers are prohibited from reselling, invalidating, or changing Tickets for postponed events. Refunds will not be issued for postponed events unless they are ultimately cancelled. Marketplace is not responsible for partial performances, venue, line-up, or time changes. No refunds will be issued in these instances.
  4. The Company notes that the Company may be unable to recover any amounts from the Seller, and the Company is under no obligation to recover such amounts. The recovery of any payments from the Seller is the sole responsibility of the Buyer. The Company shall not be obliged to reimburse to the Buyer any sums transferred to the Seller.
  1. USER CONTENT
  1. Users are solely responsible for any content, including images, text, audio, or other materials submitted (“Content”). By submitting Content, users grant the Marketplace a non-exclusive, worldwide, perpetual (or for the duration of any copyright or other rights in such content), irrevocable, royalty-free, transferable, sublicensable (through multiple tiers) right to use, reproduce, distribute, create derivative works from, publicly perform, display, store, or publish in any way, in any media known now or in the future. Users grant Marketplace the right to use the user’s name or image in association with the user’s Content. To the fullest extent permitted under applicable law, users waive their moral rights in the Content and promise not to assert such rights against Marketplace, its sublicensees or assignees.
  2. Users represent and warrant that the Content: (a) is owned by the user or the user controls all necessary rights to it; (b) does not violate, misappropriate or infringe on the rights of any third party, including intellectual property rights, privacy rights or publicity rights; (c) is accurate, not obscene, false, libellous, or defamatory; and (d) will not cause injury to any person, entity or system. The user will indemnify Marketplace for any claims resulting from his Content. The Marketplace has the right but not the obligation to monitor, edit or remove Content. The Content is non-confidential, and Marketplace will not be liable for its use or disclosure. The sale of stolen property on Marketplace is strictly forbidden and violates local and international law. Company strongly supports law enforcement efforts to recover stolen property listed on the Marketplace and urges the prosecution of those responsible for knowingly attempting to sell such items on the Marketplace.
  3. If users submit ideas, suggestions, documents, and/or proposals to Marketplace, it is done voluntarily and with no expectation of confidentiality. By submitting such ideas, users grant Marketplace ownership of the ideas to use for any purpose, in any way, without any obligation or payment.

  1. Company protects Marketplace users’ personal data following the General Data Protection Regulation (“GDPR”). Marketplace processes the personal information provided by users only to allow the use of the Marketplace Services and to communicate with users in this respect, and for the proper implementation of the Ticket purchase and sale transaction between the Buyer and the Seller. For the purposes of the conclusion and performance of the Ticket purchase agreement between the Buyer and the Seller, the Company may provide the Buyer and/or the Seller with the other party's personal data.

  1. ABUSE OF MARKETPLACE
  1. When using Marketplace and Services, users agree to abstain from doing any of the following:
  1. contact or invite contact with other users for any reason other than the purpose for which the user received the user’s contact information from us or to solicit sales outside of our Marketplace;
  2. use the Buyer's personal data for any reason other than the delivery of Tickets unless otherwise agreed to by the Buyer;
  3. behave in an abusive manner to any of our employees or other users;
  4. violate any venue or event promoter rules at events or violate any applicable third-party terms of service;
  5. breach or circumvent any laws (including where Tickets are sold internationally, the laws of the destination country), third party rights;
  6. post false, inaccurate, misleading, defamatory or libellous content;
  7. fail to fulfil the user’s contractual obligations regarding the sale or purchase of a Ticket;
  8. use Company’s trademarks and/or intellectual property without its prior written permission;
  9. copy, reproduce, reverse engineer, modify, create derivative works from, distribute or publicly display any content (except for user information) or software from our Marketplace or Services without our prior express written permission and the appropriate third party, as applicable;
  10. use any robot, spider, scraper or other automated means to access our Marketplace or Services for any purpose without our express written permission;
  11. take any action that imposes or may impose (to be determined in our sole discretion) an unreasonable or disproportionately large load on our infrastructure;
  12. interfere or attempt to interfere with the proper working of our Marketplace or Services or any activities conducted on or with our Marketplace or Services;
  13. bypass our robot exclusion headers, robots.txt rules or any other measures we may use to prevent or restrict access to our Marketplace or Services;
  14. commercialise any of our applications or any information or software associated with such applications;
  15. export or re-export any of our applications or tools except in compliance with the export control laws of any relevant jurisdiction and accordance with posted rules and restrictions;
  16. or do anything else that we determine, in our sole reasonable discretion, misuses the Marketplace or Services or otherwise negatively impacts our Marketplace.
  1. To protect Buyers and Sellers, Company may screen Ticket sales or listings for signs of fraud, which may result in the cancellation of listings or sales and temporary or permanent suspension of user accounts.
  2. Users agree not to use any robots, spiders, other automatic devices, or manual process to monitor or copy the Marketplace or any of Company’s web pages or the content contained thereon or for any other unauthorised purpose without prior express written permission. Users agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Marketplace. Users agree not to take any action that imposes an unreasonable or disproportionately large load on Marketplace infrastructure. Users agree not to copy, reproduce, alter, modify, create derivative works, or publicly display any content (except for the user’s own personal, non-commercial use) from Marketplace without the prior express written permission of Company.
  3. WE RESERVE THE RIGHT TO REPORT TO LAW ENFORCEMENT AUTHORITIES ANY ACTIVITY THAT WE BELIEVE TO BE UNLAWFUL OR OTHERWISE IN VIOLATION OF THESE TERMS AND CONDITIONS. IN THE EVENT OF A REASONABLE SUSPICION OF SUCH ILLEGAL OR CRIMINAL ACTIVITY, WE WILL PROVIDE LAW ENFORCEMENT AUTHORITIES (E.G., THE POLICE) WITH THE DATA IN OUR POSSESSION, AND WE WILL RESPOND TO ANY INQUIRIES RELATING TO A CRIMINAL INVESTIGATION BY DOMESTIC AND FOREIGN LAW ENFORCEMENT OR REGULATORY AUTHORITIES, OTHER GOVERNMENT OFFICIALS OR AUTHORIZED THIRD PARTIES.
  1. VIOLATION OF TERMS
  1. Marketplace may investigate any potential or suspected violations of the Terms and Conditions, Privacy Policy, security protocols or best practices, third party rights or applicable law, any actions or any other misconduct or potential abuse on or through the Services or attempts.
  2. Marketplace may take any actions it deems appropriate in reasonable discretion for the conduct described above. Without limiting other remedies, these actions may include: limiting, temporarily or permanently suspending, or terminating Services and user accounts, restricting or prohibiting access to and user activities on Marketplace, and/or Services, removing listings, requiring to edit listings, cancel sales, need to send Tickets to a Buyer within a specified time, delay or remove hosted content, remove any special status associated with a user account, reduce or eliminate any discounts, withhold payment, charge the payment method on file for amounts owed or costs Marketplace incur due to user misconduct (including, without limitation, any costs associated with collection of delinquent user accounts or chargebacks and any replacement costs), and take technical and legal steps to keep the user from using Marketplace, and/or Services.
  3. Marketplace reserves the right to report any activity that Marketplace deems to be illegal or otherwise in contravention of these Terms and Conditions. Marketplace will respond to any verified requests relating to a criminal investigation (i.e., a subpoena, court order or substantially similar legal procedure) from local and foreign law enforcement or regulatory agencies, other government officials, or authorised third parties.
  1. TERM AND TERMINATION
  1. These Terms and Conditions shall commence when the user registers an Account in Marketplace and continue for an indefinite period unless terminated following these provisions. If the Buyer does not register an Account (i. e. when Buyer chooses to purchase Tickets without registering an Account), these Terms and Conditions shall come into force upon their acceptance by the Buyer in the manner provided by the Marketplace.
  2. These Terms and Conditions shall also be deemed to be the general Terms and Conditions of the Ticket purchase agreement between the Buyer and the Seller and shall be binding on the Buyer and the Seller. Such agreement may be terminated by the agreement of the Buyer and the Seller or in other cases provided for by law.
  3. Users may terminate these Terms and Conditions anytime by contacting Company using the details provided on the Marketplace. If a user requests to close his account, Marketplace will treat this request as termination of these Terms and Conditions.
  4. Marketplace may terminate these Terms and Conditions at any time by giving at least thirty (30) days’ notice via email to the user’s registered email address. After which, the user account will be deleted.
  5. Termination of these Terms and Conditions shall not affect the rights or liabilities of either party accrued before, including the date of termination or expiry and/or any terms intended expressly or by implication to survive termination or expiry.
  1. APPLICABLE LAWS, JURISDICTION, AND DISPUTE RESOLUTION
  1. These Terms and Conditions are based on the law of the Republic of Lithuania.
  2. All disputes between Sellers and Buyers shall be settled following the law applicable to the conflict between the Seller and the Buyer, as determined by territorial jurisdiction, the jurisdiction of the place of residence, or any other rules of jurisdiction applicable to the Seller and Buyer.
  3. Disputes between Company and users shall be settled in the courts of the Republic of Lithuania at Company's registered office unless European Union legislation provides for a different jurisdiction (e.g., if consumer protection laws specify another jurisdiction).
  4. If the user is a consumer residing in the European Union, Company does not (and is not legally obliged to) participate in any alternative dispute resolution (ADR) procedures or services unless otherwise provided by law. Please note that the mandatory consumer protection provisions of the law of the member state where the user resides will also apply.
  5. EU Consumer protection rules only apply in business-to-consumer relations and not when buying from another consumer (peer-to-peer). As Marketplace is primarily a peer-to-peer Marketplace intended for personal use, European Consumer laws do not apply to these Terms and Conditions.
  6. This section of the Terms and Conditions only applies to the user if his country of residence or establishment is in the Republic of Lithuania:
  1. Company is committed to participating in a consumer-friendly dispute resolution process. As a consumer, if the user disagrees with any decisions made by Company, the user can complain directly to Company. In case the user disagrees with Company’s response to the written complaint, the user (natural person, consumer) may submit a request/complaint regarding Company’s decisions/actions to the State Consumer Rights Protection Authority (Vilniaus St. 25, LT-01402 Vilnius, the Republic of Lithuania, e-mail: tarnyba@vvtat.lt, phone: 85 262 67 51, fax. (85) 279 1466, on the website www.vvtat.lt (as well as the territorial units of the State Consumer Rights Protection Service in the districts) - or by filling in the request form on the EGS (European Commission’s online dispute resolution platform) https://ec.europa.eu/odr/.
  2. As a consumer, the user may also bring any judicial proceedings relating to these Terms and Conditions before the competent court of the user’s place of residence or the competent court of Company place of business. If Company wishes to enforce any of its rights against the user as a consumer, Company may do so only in the courts of the jurisdiction in which the user is a resident.
  1. DISCLAIMER
  1. The user understands and agrees that he is using the Marketplace and Services on an ‘as is and ‘as available’ basis. The Marketplace makes no warranty concerning its software, services, Marketplace, any Tickets, any event, any user content, or that Sellers or Buyers will perform as promised. Accordingly, to the maximum extent permitted by applicable law and except as expressly provided in these Terms and Conditions, Marketplace disclaims all warranties, express or implied, of merchantability, fitness for a particular purpose, title, or non-infringement.
  2. In addition, to the maximum extent permitted by law, Company (inclusive of any of its service providers and licensors) are not liable for: (a) any special, indirect, or consequential damages; (b) loss of profits, goodwill or reputation, or other intangible losses; (c) damages relating to (i) users access to, use of, or inability to access or use the Marketplace or Services; (ii) viruses or other malicious software obtained by accessing Marketplace or Services or those of any Marketplace, services, or tools linked to Marketplace or Services; (iii) any user content or content of third parties.
  3. Company disclaims any liability for the acts, omissions and conduct of any third-party users, Company users, advertisers and sponsors on the Marketplace in connection with the Company service or otherwise related to the user’s use of the Marketplace and/or the Company service. Company is not responsible for the products, services, actions, or failure to act of any venue, performer, promoter or other third parties in connection with or referenced on the Marketplace.
  4. The Company does not undertake to provide any debt collection, recovery services or other legal action (e.g. in the event that the Buyer purchases an invalid Ticket from the Seller).
  5. Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to the user. The user may have rights in addition to those contained in these Terms and Conditions.
  6. Company liability to the user or any third party is limited to € 100 (one hundred euros), as applicable, unless applicable laws prohibit restricted liability.
  7. Users acknowledge and understand that the Company and the Marketplace are not Ticket Sellers, and that the Company's and the Marketplace's liability is limited to the provision of the Marketplace Service, i.e. intermediation. Neither Company nor Marketplace shall be liable for the wrongful acts of the Buyer or Seller, the accuracy or validity of the Tickets, or any other Buyer and Seller liabilities.
  1. LIABILITY
  1. The Marketplace is not liable for any damage users may suffer as a result of the use of the Marketplace and/or Services, such as losses incurred by Buyer or Seller as a result of a change of an event, unless such damage has been caused by intent, gross negligence or deliberate recklessness of Company.
  2. All users shall be fully liable for all damages incurred by Company, including all direct and indirect damages, loss of income/profits etc., caused by its illegal or infringing acts against Company. If the law limits the amount and/or scope of damages to be indemnified, the user shall reimburse Company for the maximum amount of damages permitted by law.
  3. Company cannot guarantee the accuracy of the content of the Marketplace. The Marketplace is not liable for the consequences of (any) inaccuracies (such as a wrong event description).
  4. The Marketplace is entitled, without prior notice, to (temporarily) suspend or limit the use thereof or to terminate the Marketplace and/or Service without giving any reasons and without such giving rise to any right on compensation towards Marketplace.
  5. Company shall not be in default or otherwise liable under these Terms and Conditions due to its inability to perform its obligations because of force majeure, i. e. fire, earthquake, flood, substantial snowstorm, epidemic, pandemic, accident, explosion, casualty, strike, lockout, labour controversy, riot, civil disturbance, the act of a public enemy, terrorism, cyber-terrorism, embargo, war, the act of God, natural disaster, or any municipal, county, state or national ordinance or law, or any executive, an administrative or judicial order (which order is not the result of any act or omission which would constitute a default by us hereunder), or any failure or delay of any transportation, power, or communications system or any other or similar cause not under the control of Company.
  6. COVID-19 is a highly contagious disease that can lead to severe illness and death. An inherent risk of exposure to and contraction of COVID-19 exists in any place or venue where people gather. Users assume any risks, costs, and harms arising from or relating in any way to the risk of contracting, exposure to, or contracting a communicable disease or illness, including, without limitation, COVID-19 or any other virus, bacteria, or other pathogens. Now users waive any claims and potential claims against Company relating to such risks, harms, and/or exposures.
  7. Company does not make any guarantee that the Marketplace will always be available.
  8. Company will not assume any responsibility for the correctness or completeness of the statements made and the information posted by the Users; in particular, Company does not check the correctness and completeness of the data and information provided by the Users concerning the Events and the individual Tickets.
  9. Buyers are encouraged to follow the press and other media concerning the event to learn of any date changes or cancellations in due time.
  1. INDEMNIFICATION
  1. Users shall indemnify Company against any claims asserted by other users or third parties against Company regarding infringements of their rights concerning the Tickets offered on the Marketplace and other content posted on the Marketplace (e.g., breaches of duties to provide information in the context of distance selling). This shall not apply if the user is not responsible for the infringement in the sense of negligent or intentional behaviour. Should third parties assert claims, the user must immediately provide Company with the correct and complete information required to assess the allegations and defend against them.
  1. INTELLECTUAL PROPERTY
  1. The Marketplace, including all Marketplace software, databases, trademarks, logos, service marks, proprietary information, and materials (and any intellectual property and other rights relating to it), is owned by Company. It will remain the property of Company. Users of the Marketplace acknowledge that they do not acquire any ownership rights by using the Marketplace. Users may not use any Company in connection with any product or service that is not offered by Company, in any manner that is likely to confuse with Company’s business, or in any way that disparages Company. Nothing contained on the Marketplace should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Company without the express written permission of Company.

The content, organisation, graphics, design, compilation, and everything available on the Marketplace, including, without limitation, images and written and other materials, are intellectual property protected under the copyright, trademark and other intellectual property laws of the Republic of Lithuania and/or other countries. Users may not download, print, copy, reproduce, distribute, transmit, broadcast, display, sell, license or otherwise use or exploit any of the Marketplace except in the course of viewing the Marketplace online for lawful purposes and in making single copies of selected pages of the Marketplace for personal use and not for distribution or posting on any other Marketplace. Users also agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on on-site content. Violating applicable intellectual property laws may lead to civil and/or criminal penalties. No right, title or interest in any downloaded materials is transferred to the user as a result of any such downloading or copying other than the preceding license to possess for personal use.

These Terms and Conditions (and all documents incorporated by reference) constitute the agreement between the parties and supersede all prior agreements and understandings concerning the subject matter, whether written or oral. No amendment, modification or supplement of any provision of these Terms and Conditions will be valid or effective unless made following the express terms of these Terms and Conditions.
  2. The Marketplace may contain links to third-party websites, applications, services, or resources that are subject to different terms and privacy practices. The Marketplace is not responsible or liable for any aspect of such third-party services, and links to such third-party services are not an endorsement.
  3. No agency, partnership, joint venture, or other relationship is intended or created by users’ use of the Marketplace.
  4. Suppose any provision of these Terms and Conditions is held invalid or unenforceable under any circumstances. In that case, its application in any other circumstances and the remaining provisions of these Terms and Conditions shall not be affected.
  5. Company may assign or transfer its rights and obligations under these Terms and Conditions at any time, provided that we give the Terms and Conditions on the same terms or terms that are no less advantageous to users. Users may not assign or transfer these Terms and Conditions, or any of its rights or obligations, without Company’s prior written consent, which Company can refuse in its sole discretion.

No agency, partnership, joint venture, employer-employee, or franchiser-franchisee relationship is intended or created by these Terms and Conditions, users’ use of the Marketplace or the provision of Company’s Services. A person who is not a party to these Terms and Conditions has no right to enforce any term of these Terms and Conditions.
  7. Nothing in these Terms and Conditions is intended to confer benefits, rights or remedies unto any person or entity other than the parties hereto and their permitted successors and assigns.
  8. The subject heading at the beginning of each paragraph of these Terms and Conditions is for reference purposes only and in no way defines, limits, construes or describes the scope or extent of such section.
  9. Company’s failure to act concerning a breach by users or others does not waive Company’s right to act concerning subsequent or similar breaches. Company does not guarantee taking action against these Terms and Conditions violations.
  10. Legal notices shall be sent to users by email to the email address provided during the registration process. Notices shall be deemed to have been served after the email is sent unless the email address is invalid. Alternatively, Company may give users legal notices by registered mail to the postal address provided during registration. Notices sent to either party by registered mail shall be deemed to have been received upon the time of their actual service.
